END USER LICENSE AGREEMENT

This Mobile Application End User License Agreement ("EULA") is a legal agreement between you and SKYE Aviation Technologies LLC ("SKYE", "we", "us", or "our") governing your download, installation, access to, and use of the SKYE mobile application (the "App"). This EULA supplements the SKYE Terms of Service, Privacy Policy, and Account and Data Deletion Policy, each of which is incorporated by reference. If there is a conflict between this EULA and the Terms of Service regarding your use of the App, the Terms of Service control unless applicable law or app store rules require otherwise.
1. LICENSE GRANT
Subject to your compliance with this EULA and all applicable SKYE policies, SKYE grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the App on a device that you own or control, solely for your personal or internal business use in connection with the SKYE platform.
The App is licensed, not sold. SKYE and its licensors retain all rights, title, and interest in and to the App, including all intellectual property rights not expressly granted to you.
2. APP STORE TERMS
If you obtained the App from the Apple App Store, you acknowledge and agree that: (a) this EULA is between you and SKYE, not Apple Inc.; (b) Apple has no obligation to furnish maintenance or support for the App; (c) except as required by applicable law, Apple has no warranty obligation with respect to the App; (d) Apple is not responsible for addressing any claims relating to the App, including product liability, regulatory compliance, consumer protection, or intellectual property claims; and (e) Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce this EULA against you.
If you obtained the App from Google Play or another marketplace, you agree to comply with the applicable marketplace terms, policies, and usage rules in addition to this EULA. The app store or marketplace provider is not responsible for the App, user activity, aviation-related arrangements, support, claims, or disputes between users.
3. RESTRICTIONS
You may not: copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive source code from the App except where applicable law expressly permits; rent, lease, sell, sublicense, distribute, transfer, publish, or publicly perform the App; circumvent security, access, or usage limits; scrape, harvest, or extract data except as expressly permitted by the Terms of Service; use the App for unlawful, misleading, unsafe, abusive, or fraudulent purposes; or use the App in any way that could damage, disable, impair, overburden, or compromise SKYE, the App, other users, or related systems.
You may not use the App in violation of aviation regulations, app store rules, sanctions laws, intellectual property rights, privacy rights, or any applicable law or contractual restriction.
4. AVIATION AND OPERATIONAL DISCLAIMER
The App is an aviation networking, scheduling, marketplace, communication, and technology tool only. The App is not a flight planning system, dispatch system, operational control system, safety management system, flight following system, training approval system, maintenance tracking system, regulatory compliance tool, emergency communication tool, or official aviation record system.
Users are solely responsible for complying with all applicable aviation laws, regulations, certificate requirements, licensing requirements, medical requirements, flight time limitations, training standards, aircraft airworthiness requirements, insurance requirements, airport rules, and operational rules, including those issued by the FAA, EASA, TCAA, TSA, DOT, or any other applicable aviation authority.
SKYE does not verify, certify, guarantee, or endorse the qualifications, licenses, ratings, medical certificates, aircraft status, ownership, insurance coverage, training authority, operational legality, or fitness of any user, instructor, pilot, aircraft owner, flight school, maintenance provider, broker, aircraft, listing, service, or activity unless expressly stated in writing.
The App must not be used as the sole basis for any safety-of-flight, emergency, dispatch, operational, weather, maintenance, regulatory, legal, insurance, or compliance decision.
5. TIME BUILDING, SAFETY PILOT, AND NO ILLEGAL CHARTER
Any time building, safety pilot, training, aircraft rental, aircraft sale, aircraft parts, sightseeing-related listing, hangar, maintenance, brokerage-related connection, or aviation-related arrangement made through or in connection with the App is solely between the participating users or third parties. SKYE is not an air carrier, charter operator, flight school, aircraft operator, aircraft broker, charter broker, maintenance provider, insurer, escrow agent, employer, agent, or party to such arrangements.
Users may not use the App to arrange, advertise, solicit, sell, broker, coordinate, or conduct illegal charter operations, unauthorized commercial air transportation, air taxi services, paid passenger transportation, common carriage, or any flight activity that violates applicable aviation laws or regulations. Users are solely responsible for determining whether any proposed activity is legal, insured, properly authorized, and compliant.
6. LISTINGS, USER CONTENT, AND USER DUE DILIGENCE
The App may display profiles, messages, reviews, ratings, availability, listings, aircraft information, aviation services, aircraft rentals, aircraft sales, parts, hangars, real estate, time building opportunities, safety pilot opportunities, or other user-generated content. SKYE does not guarantee the accuracy, completeness, legality, availability, pricing, safety, quality, suitability, or compliance of any listing, profile, user content, transaction, aircraft, service, instructor, pilot, school, owner, provider, or opportunity displayed through the App.
Users are responsible for conducting their own due diligence before communicating, meeting, transacting, flying, renting, purchasing, selling, training, instructing, maintaining, relying on, or engaging with any person, listing, service, aircraft, or aviation-related opportunity.
7. UPDATES, CHANGES, AND SUPPORT
SKYE may release updates, patches, bug fixes, enhancements, or new versions of the App. Some updates may be required for continued use. SKYE may modify, suspend, restrict, discontinue, or remove App features at any time, subject to applicable law.
SKYE does not guarantee uninterrupted availability, error-free operation, compatibility with every device, compatibility with every operating system version, or continued support for any specific feature, device, or platform.
8. DATA, PRIVACY, ANALYTICS, AND ACCOUNT DELETION
Use of the App involves collection and processing of personal information and other data as described in the SKYE Privacy Policy. The App may use analytics, crash reporting, diagnostic tools, cookies, device identifiers, or similar technologies to improve reliability, security, product performance, and user experience, subject to applicable law and user settings.
You may review and control certain permissions through your device settings, including notifications, camera, photos, location, and other operating system controls where applicable.
If the App allows account creation, users may request or initiate account and data deletion as described in the SKYE Account and Data Deletion Policy and through any in-app or web-based deletion tools made available by SKYE.
9. PURCHASES, SUBSCRIPTIONS, AND REFUNDS
Certain App features may be offered for a fee, subscription, in-app purchase, promoted listing, advertising package, premium profile, or other paid feature. Fees, renewal terms, cancellation terms, taxes, and billing details will be disclosed at or before purchase where required.
Purchases, subscriptions, renewals, cancellations, and refunds processed through Apple App Store, Google Play, Stripe, or another payment provider may be governed by that provider's payment rules, account settings, cancellation procedures, and refund policies. SKYE does not control app store or third-party payment systems and cannot guarantee refunds except as required by applicable law or the applicable provider's rules.
Deleting your SKYE account does not automatically cancel active subscriptions, free trials, or purchases managed by Apple App Store, Google Play, Stripe, or another third-party payment provider. You are responsible for cancelling any active subscription through the applicable provider.
10. EXPORT CONTROL AND SANCTIONS
You represent and warrant that you are not located in a country or region subject to U.S. embargo or comprehensive sanctions, that you are not listed on any U.S. government list of prohibited or restricted parties, and that you will not use, export, re-export, transfer, or make the App available in violation of U.S. export control, sanctions, or other applicable trade laws.
11. TERMINATION
Your license to use the App terminates automatically if you fail to comply with this EULA, the Terms of Service, or applicable law, or if SKYE suspends or terminates your account. Upon termination, you must stop using the App and may uninstall it from your devices.
Sections that by their nature should survive termination will survive, including ownership, restrictions, disclaimers, limitation of liability, indemnification, dispute provisions, and governing law provisions.
12. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SKYE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, SAFETY, LEGALITY, REGULATORY COMPLIANCE, AND SUITABILITY FOR AVIATION USE.
SKYE does not warrant that the App will be uninterrupted, error-free, secure, compliant with every aviation requirement, accepted by any aviation authority, compatible with every device, or free from harmful components.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKYE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, AVIATION ACCIDENT, AVIATION INCIDENT, REGULATORY ACTION, ENFORCEMENT ACTION, USER DISPUTE, PAYMENT DISPUTE, OR OPERATIONAL LOSS ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE APP.
SKYE is not responsible for any flight delay, cancellation, aircraft issue, training dispute, failed communication, incorrect user information, regulatory violation, accident, incident, injury, loss, or damage arising from arrangements made between users through or in connection with the App, except to the extent liability cannot be excluded under applicable law.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless SKYE and its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the App, your content or listings, your aviation activities, your interactions with other users, your violation of this EULA or applicable law, your misrepresentation, your negligence or misconduct, or any dispute, accident, incident, injury, death, damage, payment issue, transaction, or regulatory matter involving you or your activities.
15. GOVERNING TERMS AND DISPUTES
This EULA supplements the SKYE Terms of Service. Governing law, jurisdiction, arbitration, class action waiver, and dispute resolution provisions are set forth in the Terms of Service, except where applicable law or app store rules require otherwise.
Nothing in this EULA limits any non-waivable rights you may have under applicable consumer protection, privacy, data protection, or app store rules.
